Our client is a diversified business group headquartered in Hong Kong with operations in APAC as well as the US. The group primarily involves in property development, hotel management and participate in various investments. They have notable properties across significant APAC regions and the US. There are 2 HK listed companies in the group. 

Their trading volume has grown rapidly, and eager to expand further. With the changing needs of the markets and commitment towards sustainable development & growth in the regions, they are currently looking for an experienced Company Secretarial talent to join the organization.


Responsibilities

• Oversee and manage all company secretarial functions for the group, it’s listed companies and all private subsidiaries

• Ensure compliance with all relevant laws, regulations, and corporate governance requirements

• Coordinate and prepare board and committee meetings, including agendas, minutes, and resolutions

• Maintain accurate and up-to-date corporate records and registers

• Manage relationships with shareholders, regulators, and other stakeholders

• Provide advice and guidance on corporate governance matters to the board and senior management

• Monitor changes in legislation and regulations affecting the company

• Assist in the preparation and filing of statutory returns and disclosures

• Manage the company's share register and oversee share transactions

• Support in ESG


Experience

7+ years of company secretarial experience, preferable with in-house listed company experience. Associate member of HKCGI. Possess in-depth knowledge of Hong Kong listing rules, Companies Ordinance, and other relevant regulations. Strong understanding of corporate governance principles and best practices. Excellent communication and interpersonal skills to interact with board members, senior management, and external stakeholders. Ability to manage multiple tasks, prioritize workload, and meet deadlines effectively. Attention to detail and accuracy in maintaining corporate records and documentation. Leadership skills to manage a team of company secretarial staff and provide guidance and support. Possess a strategic mindset, excellent risk awareness, and being ethical. You are proactive, self-motivated, agile in learning, open-minded and up for challenges.
